What You Will Learn
By the end of the course, you will be able to:
- Define corporate governance and explain its scope, purpose, structure, and importance in modern organizations.
- Identify and describe major concepts of corporate governance including the eight core components of an effective governance structure, key theories of corporate governance, including agency theory, stewardship theory, resource dependency theory, and transaction cost theory, the principal–agent problem, and components of corporate compliance, including codes of conduct, monitoring systems, and sanctions.
- Summarize major historical developments in corporate governance and how scandals shaped modern reforms.
- Critically evaluate corporate fraud cases, including Enron, Theranos, Lehman Brothers, Martha Stewart, and Bernie Madoff, identifying governance failures and ethical breaches.
- Compare international governance models, including the Anglo-American, German, UK, and Japanese systems.
- Explain the concept of Corporate Social Responsibility (CSR) and evaluate its impact on sustainability and corporate success.
- Collaborate effectively in groups to prepare and deliver a professional final presentation that applies course concepts.

Courses
The minimum English proficiency to be successful in the Corporate Governance and Compliance course is CEFR B2+, minimum TOEFL score of 80, or IELTS score of 6.5. Students will be sent a placement exam at the time of registration.
Important Information for Corporate Governance and Compliance Students
The minimum age for this course is 18, and it is best suited for students who are currently studying in an undergraduate or graduate school program, or working professionals.

Staying with a local family is a great way to experience life in New York and practice your English outside of class. Choose either a private or shared room in the home of a local family. All homestays are accessible to Pace University by public transportation. Breakfast is included, and dinner and lunch are optional.
